1. Who we are and when these terms apply
1.1 Wakebooked is a software product owned and operated by StoneCircle Private Limited, a company incorporated in India (CIN [CIN]), with its registered office at [Registered office address] (“StoneCircle”, “we”, “us”, “our”).
1.2 These terms apply when you visit wakebooked.com or any of its pages (the “Website”) and when you submit a pre-booking (Part A). By using the Website or submitting a pre-booking, you agree to these terms. If you do not agree, do not use the Website.
1.3 You must be at least 18 years old. Wakebooked is a business tool. If you pre-book on behalf of a business, you confirm that you are authorised to accept these terms on its behalf, and “you” includes that business.
2. What a pre-booking is
2.1 A pre-booking is a free, non-binding expression of interest in Wakebooked. It reserves a place in our access queue and, where applicable, a founding seat (clause 4).
2.2 No payment is taken, and no card or payment details are requested. A pre-booking does not create a contract for the supply of the Wakebooked service, a subscription, or any obligation on you to purchase.
2.3 When your account is ready we will invite you by email. Use of the Wakebooked service will be governed by our Service Terms, Acceptable Use Policy and Data Processing Addendum (together, the “Service Terms”), which will be presented to you before you start and which you must accept to use the service.
3. No guarantee of timing or features
3.1 We aim to open accounts to pre-booked users in seat order, but we do not guarantee any launch date, invitation date, or availability in any particular country.
3.2 Features, designs, prices, plan names and limits described or shown on the Website reflect our current plans and may change before or after launch. We will not be liable for any change, delay or decision not to launch, other than to delete your data on request.
4. Founding seats
4.1 Founding seats are limited to the first ten (10) valid pre-bookings, determined by the time each pre-booking is recorded on our servers. Your seat number is shown on screen and in your confirmation email.
4.2 A pre-booking is not valid if it uses false, incomplete or someone else's details, is automated or made in bulk, duplicates an existing pre-booking for the same person or business, or is made by or for a competitor. Invalid pre-bookings do not hold a seat, and seat numbers may be re-issued accordingly.
4.3 One founding seat is available per person and per business.
5. Founding perks
5.1 If you hold a valid founding seat and start a paid Wakebooked plan within thirty (30) days of our invitation email, you will receive:
- Founding price. US$49 per month for the Pro plan (plus applicable taxes), which will not increase for as long as that subscription remains continuously active and paid. The founding price ends if the subscription is cancelled, lapses for non-payment for more than fourteen (14) days, or is moved to a different plan.
- 30 days of Pro. Access to the Pro plan (or its equivalent at launch) free of charge for thirty (30) days from activation of your account.
- Setup session. One guided setup session of up to sixty (60) minutes, by video call, to be scheduled within sixty (60) days of activation.
- Priority access. Invitation in seat order ahead of the general waitlist.
5.2 Perks are personal to you, are not transferable, have no cash value, cannot be exchanged, and cannot be combined with other offers unless we say so in writing. Applicable taxes are charged in addition to any price.
5.3 Once your founding seat is confirmed, we will not reduce the perks in clause 5.1 for you, except where required by law, where the service is discontinued, or where you breach these terms or the Service Terms.
5.4 If we do not invite you within twelve (12) months of your pre-booking, you may withdraw at any time and owe nothing. No compensation is payable for delay.
6. Refusal, cancellation and withdrawal
6.1 We may decline or cancel any pre-booking that breaches clause 4.2, that we reasonably believe is abusive or fraudulent, or where providing the service would breach applicable law, sanctions or our Acceptable Use Policy.
6.2 You may withdraw your pre-booking at any time by replying “remove” to any email from us or writing to the contact address in clause 13. We will delete your pre-booking data within thirty (30) days, except anything we must keep by law.
7. Emails we will send you
7.1 By pre-booking you ask us to send you (a) a confirmation of your seat and (b) messages about your access and the launch of Wakebooked. These are part of the pre-booking you requested.
7.2 You can unsubscribe from launch updates at any time using the link or instructions in the email, or by replying “remove”. We do not sell your email address or share it with third parties for their marketing.
8. Information, demonstrations and statistics
8.1 The Website is provided for general information about Wakebooked. It is not legal, financial, tax or marketing advice.
8.2 Demonstrations. Product videos, screenshots, notifications and chat examples on the Website are demonstrations. Names, messages, bookings and activity shown in them are illustrative and do not depict real customers, real attendees or actual results.
8.3 Statistics. Third-party statistics are attributed to their published sources. They describe general industry findings, not the performance of Wakebooked or of any customer.
8.4 No promise of results. Sales, bookings, attendance and revenue depend on many factors outside our control, including your offer, audience, content and market. We make no representation or guarantee that you will achieve any particular result.
9. Intellectual property
9.1 The Website, its content, design, text, graphics, videos, software, and the Wakebooked name and logo are owned by or licensed to StoneCircle and are protected by copyright, trademark and other laws.
9.2 We grant you a limited, revocable, non-exclusive licence to view the Website for your own evaluation of Wakebooked. You must not copy, reproduce, modify, distribute, frame, scrape, data-mine, reverse-engineer, or create derivative works from the Website or its content, or use our name or logo, without our prior written consent.

12. Disclaimers, liability and indemnity
12.1 To the fullest extent permitted by law, the Website and the pre-booking programme are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Website will be uninterrupted, secure or error-free.
12.2 To the fullest extent permitted by law, StoneCircle, its directors, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for any loss of profits, revenue, business, goodwill, data or anticipated savings, arising out of or in connection with the Website or a pre-booking.
12.3 To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the Website and the pre-booking programme, however arising, is limited to INR 5,000 (or its equivalent in your local currency).
12.4 Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability, or any statutory right as a consumer, that cannot be excluded or limited under applicable law.
12.5 You will indemnify StoneCircle against claims, losses and reasonable costs arising from your breach of clause 4.2 or clause 10, or your unlawful use of the Website.
13. Governing law, disputes and contact
13.1 These terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of India. Subject to clause 13.2, the courts at [City], India have exclusive jurisdiction.
13.2 If you are a consumer, you also keep the protection of mandatory laws of the country where you live, and may bring proceedings there where those laws allow.

14.2 Entire agreement. These terms, together with our Privacy Policy, are the entire agreement between you and us about the Website and pre-bookings, and supersede any prior statements about them.
14.3 Severability and waiver. If any provision is held invalid or unenforceable, the rest remains in force. A failure or delay to enforce a right is not a waiver of it.
14.4 Assignment. You may not transfer your rights under these terms. We may assign them to an affiliate or to a successor of the Wakebooked business, and your founding perks will continue.
